Tricycle Terms of Service Agreement

Welcome to Tricycle! By accessing or using our services (the "Services"), you agree to be bound by this Terms of Service Agreement (the "Agreement"). Please read these terms carefully before using our platform. If you do not agree to these terms, you may not use the Services.

1. Acceptance of Terms

"Services" refers to the staking, management, or interaction with cryptocurrency, NFTs, or other blockchain-related functionalities offered by Tricycle.

3. Eligibility

To use the Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction.
• Have the legal capacity to enter into a binding agreement.
• Comply with all applicable laws and regulations.

By using the Services, you represent and warrant that you meet these eligibility requirements. If you do not meet these requirements, you may not access or use the Services.

4. Risks Associated with Blockchain Technology

You acknowledge and agree that:

• Cryptocurrency and NFT transactions are subject to high market volatility and may result in significant financial losses.
• Blockchain networks and protocols are inherently decentralized and may include operational or technical risks beyond Tricycle's control.
• Transactions are irreversible, and errors in transaction execution cannot be undone.

Tricycle is not responsible for any losses resulting from such risks. You assume full responsibility for understanding and managing these risks.

5. Disclaimer of Warranties

5.1 No Guarantees

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without any representations or warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

5.2 No Responsibility for Accuracy

Tricycle does not warrant or guarantee the accuracy, completeness, or timeliness of any information made available through the Services. Use of the Services is at your own risk.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Tricycle shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or assets, arising out of or related to your use or inability to use the Services, even if Tricycle has been advised of the possibility of such damages.

This limitation of liability applies to, but is not limited to:

• Errors, omissions, or inaccuracies in the Services.
• Unauthorized access to or use of your cryptocurrency or NFTs.
• Fluctuations in cryptocurrency or NFT value.
• Technical failures, bugs, or vulnerabilities in blockchain networks.

7. User Responsibilities

You agree to:

• Only use the Services for lawful purposes and in compliance with applicable laws and regulations.
• Safeguard your wallet keys, passwords, and other credentials used to access the Services.
• Assume full responsibility for all activities conducted through your wallet or blockchain addresses.

Prohibited activities include:

• Engaging in fraud, money laundering, or any other illegal activities.
• Attempting to interfere with or disrupt the Services or their security.
• Uploading harmful, inappropriate, or unauthorized content to the platform.

8. Security and Liability

Tricycle implements commercially reasonable security measures to protect the Services. However, you acknowledge and agree that:

• Tricycle cannot guarantee the complete security of any systems or data.
• You are solely responsible for safeguarding your wallet keys, private keys, and passwords.
• Tricycle shall not be liable for any unauthorized access to or use of your cryptocurrency, NFTs, or other assets.

9. User Warranties and Representations

By using the Services, you represent and warrant that:

• You are not a resident of any country or jurisdiction subject to comprehensive U.S. or EU economic sanctions.
• You will not use the Services for any illegal purposes, including money laundering, terrorist financing, or other prohibited activities.
• You are solely responsible for complying with all applicable laws and regulations.

10. Force Majeure

Tricycle shall not be held liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, government actions, or technical failures of third-party systems or services.

11. Service Restrictions

Tricycle reserves the right to restrict or limit the availability of the Services in certain jurisdictions. Users are responsible for ensuring that access to and use of the Services are legal in their jurisdiction. Use of the Services where prohibited by local laws is strictly forbidden.

12. Rewards System

Rewards distributed through the Services are based on Sanko's rewards system. Tricycle does not have control over changes to Sanko's system or its policies. You acknowledge and agree that Tricycle shall not be held accountable for any changes to the rewards structure, distribution policies, or availability. Users are encouraged to review Sanko's rewards terms and policies for further information.

13. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, code, trademarks, logos, and content, are owned by Tricycle or its licensors. You may not:

• Copy, modify, or distribute any part of the Services without prior written consent from Tricycle.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Services.

Unauthorized use of Tricycle's intellectual property is strictly prohibited.

14. Transaction Fees

Tricycle may charge fees for the use of certain Services. Such fees, if any, will be disclosed in the docs section of this website. You acknowledge that additional fees may be imposed by third-party networks or service providers (e.g., blockchain gas fees). Tricycle is not responsible for delays, errors, or failures caused by such fees.

15. Third-Party Services

The Services may integrate with third-party platforms or providers. Tricycle does not own, control, or operate such third-party services and is not responsible for their performance, security, or reliability. You use third-party services at your own risk and are subject to their terms and conditions.

16. Modification of Services

Tricycle reserves the right to modify, suspend, or discontinue the Services at any time without notice. We shall not be liable for any modification, suspension, or discontinuation of the Services.

17. Governing Law and Dispute Resolution

17.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Italy, excluding its conflicts of law rules. If local laws in Italy mandate that certain disputes must be resolved within its jurisdiction, Tricycle shall comply with such requirements.

17.2 Arbitration

All disputes arising out of or relating to this Agreement or the Services shall be resolved through binding arbitration under the rules of the International Chamber of Commerce (ICC). Arbitration proceedings shall take place in Milan, Italy, and shall be conducted in English.

17.3 Waiver of Class Actions

You agree to resolve disputes only on an individual basis. Class, collective, or representative actions are prohibited.

18. Termination

Tricycle reserves the right to suspend or terminate your access to the Services at any time for any reason, including but not limited to:

• Your breach of this Agreement.
• Your use of the Services for prohibited purposes.

Upon termination, your rights to use the Services will immediately cease.

19. Entire Agreement

This Agreement constitutes the entire understanding between you and Tricycle regarding your use of the Services and supersedes all prior agreements or understandings.
